ACE AI Terms of Service

Review the legal framework governing your use of ACE AI, including eligibility, acceptable use, billing, AI Features, Inputs, Outputs, ownership, and the rights and limits that apply when you access the service.

These Terms of Service ("Terms") govern your use of ACE AI. ACE AI EDUCATION is the business name and brand used by TIANYU EDUCATION Pty Ltd, which operates ACE AI ("ACE AI", "we", "us", "our"). By creating an account, signing in, purchasing a subscription, or otherwise accessing or using the Services, you (the "Customer") agree to these Terms.

The Services and Key Definitions

ACE AI provides AI-assisted educational tools, including chat-based tutoring, image and file-based question support, tailored practice generation, learning-profile features, and related study tools. The subjects, curricula, models, limits, features, plans, and regional availability of the Services may change from time to time.

In these Terms, "AI Features" means the AI-assisted tools, model-powered features, tutoring workflows, generated practice tools, upload-processing features, and related functionality made available through the Services.

"Inputs" means prompts, questions, messages, uploads, files, images, feedback, instructions, chat history, learning-profile information, and other content or information that you submit, provide, or make available to the Services.

"Outputs" means answers, explanations, generated questions, summaries, suggestions, recommendations, responses, or other content generated or returned by the AI Features in response to Inputs or other use of the Services.

Geographic Availability and Restricted Regions

ACE AI is operated from Australia. The Services are initially launched for users in Australia, but we may allow users in other countries or regions to access the Services where the Services are technically available and lawful.

We do not represent that the Services, AI Features, plans, payment options, language support, curricula, or content are appropriate, lawful, or available in every country or region.

We may refuse, restrict, suspend, or terminate access, sign-ups, purchases, subscriptions, or specific features in any jurisdiction where availability would create legal, regulatory, tax, sanctions, export-control, operational, safety, provider-contract, or commercial risk.

You may access and use the AI Features only where your access and use are lawful. You must not access, use, or attempt to use the Services or AI Features from a restricted region or in a manner that would breach applicable sanctions, export-control, education, consumer, privacy, or other laws.

You are responsible for ensuring that your access to and use of the Services is lawful where you are located. Nothing in these Terms excludes, restricts, or limits any mandatory rights or remedies you may have under applicable consumer, privacy, or other laws in your place of residence.

Eligibility, Student Use, and Accounts

You must provide accurate account information, keep your login credentials secure, and remain responsible for activity under your account. The Services are designed for learners and students. You may use the Services only if you are legally permitted to do so in your location.

ACE AI self-service accounts are for users aged 13+. Children under 13 must not create or use a self-service account in any country. Children under 13 may use ACE AI only through an approved parent, guardian, school, or other authorised workflow where ACE AI has made that workflow available and all required notices, permissions, and authorisations have been handled.

If you are under 15, or if we reasonably believe you may not have capacity to understand and consent to the relevant Terms or data handling, you may use the Services only with the permission, involvement, or authorisation required by applicable law, including from a parent, guardian, school, educational institution, or other authorised person where applicable.

If you are 15 to 17, you may use a self-service account only if you have capacity to understand these Terms and the Privacy Policy and your use is lawful in your location. Parent, guardian, school, or other authorisation may still be required depending on your location, account type, school involvement, payment method, or the information you submit.

We may request age, school, parent, guardian, or consent confirmation, and may refuse, limit, suspend, terminate, or delete access, accounts, or content where we reasonably believe required permission or authorisation has not been obtained.

Terms, Privacy, and Local Addenda

Your use of the Services is also subject to our Privacy Policy. We may request additional or separate acknowledgements or consents for specific data uses, billing steps, regional consumer notices, or features where required by law.

We may also publish country-specific or region-specific addenda, notices, or supplemental terms. Those materials form part of your use of the Services, and if there is a conflict, the supplemental terms will control for the relevant jurisdiction to the extent of that conflict.

Acceptable Use

You must not:

  • use the Services unlawfully or in a way that infringes another person's rights;
  • upload or submit content you do not have the right to use or share;
  • submit sensitive personal information, regulated information, or confidential third-party information unless you are permitted to do so and the submission is necessary for your use of the Services;
  • submit harmful, abusive, defamatory, infringing, deceptive, or otherwise inappropriate content;
  • use the Services to cheat, commit academic misconduct, or breach school, teacher, exam, or institution rules;
  • attempt to scrape, reverse engineer, overload, disrupt, bypass limits, or interfere with the Services or related systems;
  • misuse the Services to generate harmful, fraudulent, unlawful, or prohibited content.

AI Features, Outputs, Educational Use, and Similarity

The AI Features and Outputs are provided for general educational support only. Outputs may be incomplete, inaccurate, misleading, biased, out of date, or unsuitable for your particular situation. Outputs are not professional, legal, medical, financial, or other regulated advice. You are responsible for checking important answers, calculations, citations, explanations, and decisions before relying on them.

Because AI systems generate Outputs probabilistically, Outputs provided to different users may be similar or, in some cases, identical. We do not guarantee that Outputs are unique, exclusive, non-infringing, suitable for publication, or unavailable to other users.

Subject to these Terms, applicable law, and any third-party rights, you may use Outputs generated for your account for any lawful purpose. You remain responsible for any risk arising from your use, publication, submission, assessment, sharing, or reliance on Outputs.

You must use the AI Features only in jurisdictions where such use is approved by ACE AI and lawful for you. You are also responsible for complying with any school, teacher, exam, institution, platform, or other rules that apply to your use of Inputs, Outputs, or AI-assisted work.

Inputs, Outputs, and Ownership

As between you and ACE AI, you retain ownership of your Inputs. To the extent ACE AI has any right, title, or interest in Outputs generated for your account, ACE AI assigns that right, title, and interest to you, subject to these Terms, applicable law, and any third-party rights.

This does not give you rights in outputs generated for other users, third-party content, source materials, or ACE AI's underlying Services, models, system prompts, prompt templates, software, interfaces, or tools. We do not guarantee that any Output is protected by intellectual-property law or that it is unique, exclusive, or non-infringing.

You are responsible for the Inputs you submit, including their accuracy, legality, appropriateness, and whether you have the rights, permissions, and consents needed to submit and use them. ACE AI does not control, pre-screen, or independently verify Inputs before they are submitted, and we are not responsible for user-provided Inputs.

If you choose to submit sensitive personal information, regulated information, or confidential information, you are responsible for ensuring that you are permitted to do so. If you have capacity to consent, you consent to ACE AI and its service providers collecting, using, storing, disclosing, and processing that information as described in these Terms and our Privacy Policy. If the information relates to another person, or if parent, guardian, school, institution, or other authorisation is required, you represent that the required authorisation has been obtained.

You authorise ACE AI and its service providers to host, store, process, reproduce, analyse, transmit, display, and otherwise use Inputs and Outputs as reasonably necessary to provide, operate, secure, maintain, troubleshoot, evaluate, improve, and support the Services and AI Features.

ACE AI may collect and retain Inputs, Outputs, uploads, chat history, feedback, learning-profile data, interaction data, and related metadata to provide, operate, secure, maintain, troubleshoot, evaluate, improve, and support the Services and AI Features.

Subject to applicable law and any consent, notice, opt-out, or authorisation required by law, ACE AI may use eligible data, including selected Inputs, Outputs, uploads, chat history, feedback, learning-profile data, interaction data, and related metadata, to train, fine-tune, evaluate, test, secure, and improve ACE AI-controlled educational models, prompts, classifiers, safety systems, and related technologies.

For adult self-service users, ACE AI may collect and retain training-eligible data for future ACE AI-controlled training or fine-tuning where this is disclosed and lawful. Where applicable law requires consent, a separate notice, an opt-out, or another authorisation, ACE AI will rely on that consent, notice, opt-out, or authorisation before using identifiable personal information for that purpose.

We do not use identifiable under-18, school-managed, institution-provided, or sensitive personal information for ACE AI model training or fine-tuning unless a separate training permission has been obtained and recorded. For users under 15, or users whose capacity is uncertain, this permission must come from a parent, guardian, school, institution, or other authorised person where required by law. For users aged 15 to 17, training permission may be given by the user only where we reasonably believe the user has capacity to understand the relevant data handling, and parent, guardian, school, or institution authorisation may still be required depending on the account type, context, payment method, school involvement, or applicable law.

Training permission is optional and is separate from permission needed to provide the core Services. Refusing or withdrawing training permission will not prevent ordinary use of the Services, although it may limit access to any research, beta, or model-improvement feature that clearly requires training participation.

A user, parent, guardian, school, institution, or other authorised person may withdraw training permission for future ACE AI-controlled model training or fine-tuning by using account settings where available or by contacting [email protected]. Withdrawal will stop future use of identifiable personal information for that purpose where required by law or supported by our controls, but may not remove information from models, safety systems, evaluations, logs, backups, or de-identified or aggregated datasets already created.

AI model, inference, safety, hosting, evaluation, or related technology providers that ACE AI uses or engages may process Inputs and Outputs to provide, secure, monitor, evaluate, and support their services for ACE AI. Their processing is governed by the applicable account, API, platform, service, data-processing, security, and usage terms that apply to ACE AI's use of those providers, together with the technical settings and instructions we configure for the Services.

We do not permit those providers to use identifiable ACE AI Inputs, Outputs, uploads, chat history, learning-profile data, feedback, or related metadata to train or improve the provider's own general or shared models by default, except where this is separately disclosed and authorised where required by law.

ACE AI may use provider-hosted model-customisation or fine-tuning services for ACE AI-controlled models where the provider acts under ACE AI's instructions, provider-side general or shared model training is disabled by default, the use is disclosed in the Privacy Policy or a provider notice, and any consent or authorisation required by law has been obtained.

You represent that you have all rights needed to submit your Inputs and to authorise the processing described in these Terms.

School and Institution Accounts

At launch, the Services are primarily offered through direct-to-consumer, self-service accounts. Schools, tutoring organisations, and other educational institutions may use or purchase the Services only where authorised by ACE AI and, where applicable, subject to separate written terms, privacy notices, data processing terms, or acceptable use rules.

A school, tutoring organisation, or institution must not create, manage, monitor, or administer student accounts through the Services unless it has authority to do so and has provided any required notices and obtained any required parent, guardian, student, or institutional consents. In the event of inconsistency, institution-specific written terms will govern for the relevant institution-provided data or access to the extent of that inconsistency.

Our Intellectual Property and Licence to Use the AI Features

The Services, including the software, interface, branding, design, system prompts, prompt templates, non-user content, and related materials, are owned by or licensed to ACE AI and are protected by applicable law. Except as permitted by law, you may not copy, distribute, modify, reverse engineer, or create derivative works from the Services without our prior written permission.

Subject to these Terms, your compliance with them, and your active plan, subscription, trial, or other authorised access, ACE AI hereby grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the AI Features during the applicable subscription term, trial period, or other period in which ACE AI makes the AI Features available to you.

This licence is granted only for lawful personal and educational use, and for internal business, school, or institutional use only where that use is authorised by ACE AI and lawful for you. The licence ends when your subscription, plan, trial, or other access ends, or earlier if your account is suspended or terminated under these Terms.

No rights are granted except as expressly set out in these Terms. ACE AI and its licensors reserve all rights not expressly granted to you.

Plans, Billing, Renewals, Cancellations, Taxes, and Price Changes

ACE AI may offer free plans, paid subscriptions, trials, promotions, prepaid packs, or other pricing options. Prices, billing intervals, currencies, taxes, feature limits, and plan details are shown in the product, at checkout, or in your account and may vary by region.

Before you start a paid plan, trial that converts to a paid plan, or other recurring subscription, we will disclose the key paid-plan information required by applicable law, such as the recurring amount, billing interval, trial period, renewal timing, applicable taxes or tax treatment, and how to cancel future renewals.

Paid subscriptions renew automatically until cancelled, unless stated otherwise. By starting a paid plan, you authorise us and our payment processor to charge the applicable fees, taxes, and recurring charges using your selected payment method in accordance with your selected plan.

Unless stated otherwise, displayed prices may exclude taxes, duties, levies, or similar government charges that we are required to collect based on your location. Where required, applicable taxes may be added at checkout or included in the displayed price.

You may cancel future renewals at any time using the account tools we make available or by contacting support. Unless applicable law requires otherwise, cancellation prevents future renewals and takes effect at the end of the current billing period, but does not automatically refund fees already paid.

As a goodwill policy, you may contact support within 7 days after your first paid subscription purchase or trial conversion to request a refund. We may approve or decline goodwill refunds after considering account activity, misuse risk, technical issues, billing errors, and fairness. Renewal payments, heavily used subscriptions, and accounts involved in misuse are generally not eligible for goodwill refunds unless applicable law requires otherwise. Some jurisdictions provide mandatory cooling-off, withdrawal, renewal-reminder, or refund rights for digital services. Where required by law, we will honour those rights.

Where applicable law permits and you request immediate access to or performance of the Services during a statutory cooling-off or withdrawal period, you agree that performance may begin immediately and acknowledge that your withdrawal right may be reduced or lost once performance begins or is fully supplied, to the extent permitted by law.

If we change pricing for a recurring subscription, we will provide notice before the new price applies to a future renewal. If you do not agree to a future price change, you may cancel before the new price takes effect.

Suspension, Termination, Content Removal, and Deletion

We may suspend, limit, remove content from, or terminate your access where we reasonably believe that you have breached these Terms, failed to pay applicable fees, created risk for us or others, or misused the Services. We may also take reasonable steps to investigate suspected misuse and to comply with applicable law or lawful requests from regulators, courts, or authorities.

Where practicable and lawful, we will act reasonably and proportionately when exercising these rights, taking into account the nature of the issue, the risk to users or the Services, and any mandatory consumer or other rights that apply to you.

You may stop using the Services at any time. Where functionality is available, you may be able to delete specific chats, uploads, or other content directly in the Services, and you may request account deletion by contacting us.

We may retain limited information after termination or deletion where reasonably necessary for legal compliance, billing, fraud prevention, security, backup retention, dispute resolution, or enforcement of these Terms.

Third-Party Services

The Services may rely on or interoperate with third-party providers, including identity and sign-in providers, payment processors such as Stripe, hosting and database providers, email and support providers, analytics providers, and AI model, inference, safety, evaluation, and related technology providers that ACE AI uses or engages. Your use of those third-party services may also be subject to their own terms, data-use rules, age restrictions, regional availability, and privacy policies.

Service Availability and Changes

We do not guarantee uninterrupted, error-free, or always-available Services. We may add, remove, modify, suspend, or discontinue features, subjects, models, quotas, curricula, interfaces, integrations, or plans where reasonably necessary for security, safety, compliance, operational, technical, commercial, or product reasons.

If a change materially reduces the core paid functionality of your current paid plan during the then-current billing period, we will provide any notice, cancellation option, refund, credit, or other remedy required by applicable law.

Liability, Warranties, and Consumer Rights

To the maximum extent permitted by law, and subject to any rights or guarantees that cannot lawfully be excluded, the Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, ACE AI is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, data, goodwill, opportunity, or educational outcome arising from your use of the Services.

Nothing in these Terms excludes, restricts, or modifies rights or guarantees that cannot be excluded under applicable law, including the Australian Consumer Law and any other mandatory consumer protection law that applies to you. Where non-excludable rights apply, our liability is limited only to the maximum extent permitted by law. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

Governing Law and Jurisdiction

Except to the extent mandatory consumer protection, privacy, or other laws in your place of residence require otherwise, these Terms are governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction, which does not prevent you from bringing a claim where mandatory law gives you that right.

Changes to These Terms

We may update these Terms from time to time. We will publish the updated version with a revised "Last updated" date. If required by law or if a change is material, we may also provide additional notice within the Services or by email.

Material changes will not limit any mandatory rights that have already accrued to you. If you do not agree to updated Terms, you should stop using the Services and cancel any future renewal before the updated Terms apply to you, where that option is available under your plan and applicable law.
